Sella creates a dedicated private banking hub

The Group announces the strategic evolution of one of the key drivers of its growth. 
The Board has approved the transfer of Banca Sella’s private banking division to  Banca Patrimoni Sella & C., creating a single hub with approximately 
€55 billion in assets under management. The integration will support the development of the client offering and the collaboration between the two banks

As part of its strategic plans to serve its clients, Sella group is launching a single hub dedicated to wealth management and private banking, with the transfer of Banca Sella’s private banking division to Banca Patrimoni Sella & C. 
 
The Board of Directors of Banca Patrimoni Sella & C., the group’s bank specializing in wealth management, has approved an increase in capital allocated to Banca Sella, whose Board of Directors has resolved to assign its private banking division, as valued by an independent third-party expert. 
 
This transaction, which has been reviewed by Banca Sella’s Related Parties Transactions Committee, is subject to authorization by the Bank of Italy and the European Central Bank, as well as approval by the shareholders’ meeting of Banca Patrimoni Sella & C. Subject to these approvals, the transaction will take effect in February 2027. 

The integration, aimed at improving the quality of customer service, will ensure complete continuity and support the expansion of the product and service offering, strengthening the collaboration between the two banks while leveraging the complementary nature of the two models currently present within the Group - on the one hand, the specialized model of Banca Patrimoni Sella & C., focused on personalized advisory services dedicated to wealth planning, and on the other hand, Banca Sella’s approach, featuring an integrated commercial banking model that combines omnichannel banking services, with a focus on credit, corporate banking, personal relationships, and advisory services for families and the business community. 
 
Upon completion of the transaction, Banca Sella will acquire a stake of approximately 17% in Banca Patrimoni Sella & C. Thanks to this integration, Banca Patrimoni Sella & C. will reach total assets under management of approximately €55 billion, combining expertise and knowhow within a single organization with over 1,600 professionals. The company will continue to pursue its growth path, focused on guiding clients in their investment decisions and long-term wealth planning goals through a comprehensive and dedicated approach. 
 
The aim of the transaction is to integrate the distinctive expertise of the two institutions, enhancing the quality of service and customer relationships, in order to further consolidate the market position of Sella Group and the two banks in a market environment characterized by intense competition, the growing scale of market participants, and increasing demand for specialization and advanced advisory services. 
 
The creation of a single private banking hub will lead to the further development of wealth management consulting, and increasing specialization in investment products and services, with the aim of seizing market opportunities and better assisting clients by consolidating private banking offerings and advisory services under Banca Patrimoni Sella & C., while banking activities will continue to be provided by Banca Sella, with no changes to operational contacts, branches, or customer service procedures. 
 
This transaction is part of the ongoing evolution of the organizational structure of the sectors driving the Group’s growth, ahead of the new 2027–2030 strategic plan currently being finalized, which will focus on leveraging areas of specialization within the diversified business model.
